Terms of Service
These terms govern your use of rkcorp.com and any exterior trade services provided by RK Seamless Gutters Inc., a New York corporation (“RK,” “we,” “us”). By using the site or signing a quote, you agree to these terms. If a signed contract conflicts with these terms, the signed contract controls for that engagement.
1. Services
We provide seamless gutter installation and repair, roofing, copper fabrication and installation, drainage systems, leader piping, and FEMA-compliant exterior waterproofing. We are not a general contractor and do not perform interior renovation, structural framing, masonry, or door installation. Where work requires a separately licensed trade, we will coordinate and advise but will not perform the licensed work ourselves.
2. Quotes, contracts, and payment
- Quotes are valid for 30 days unless otherwise stated. Acceptance is indicated by signing the contract and paying the required deposit.
- Standard payment terms are deposit on acceptance, balance on completion unless the signed contract states otherwise. Larger jobs may be billed by milestone.
- Invoices not paid within 30 days of issuance may accrue interest at 1.5% per month (NY statutory maximum for commercial accounts), and we reserve the right to suspend or terminate work until the balance is current.
3. Scope changes
Any material change to scope, materials, or timeline requires a written change order signed by both parties before additional work begins. Verbal authorizations are not binding on us and will not create an obligation to perform additional work.
4. Workmanship warranty
We warrant our installation workmanship against defects for one (1) year from the date of substantial completion. This warranty does not cover damage caused by storms, falling debris, ice dams, acts of God, improper maintenance, or third-party alterations. Manufacturer warranties on materials (shingles, coil stock, membrane) are passed through to the client and subject to those manufacturers’ terms.
5. Access and site conditions
Client is responsible for providing reasonable access to the property and for disclosing any known hazards, restrictions, or permit requirements. We are not responsible for damage caused by pre-existing structural deficiencies, concealed conditions, or utility lines not marked or disclosed.
6. Permits
Where a permit is required, it is the client’s responsibility to obtain it unless the signed contract specifically states that we will pull the permit on the client’s behalf. We do not begin work on permit-required jobs until a valid permit is in hand.
7. Limitation of liability
To the maximum extent allowed by New York law, our aggregate liability for any claim arising out of or related to an engagement is limited to the total fees you paid us for the specific job giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, lost profits, or consequential water damage beyond the immediate repair area, even if advised of the possibility. Nothing in this section limits liability for gross negligence, willful misconduct, or fraud.
8. Indemnification
You agree to defend and indemnify RK Seamless Gutters Inc. against third-party claims arising from (a) your failure to obtain required permits, (b) pre-existing conditions you failed to disclose, or (c) your use or modification of our work after completion in ways that void the workmanship warranty.
9. Termination
Either party may terminate a contract with written notice. On termination, we will invoice for all work performed through the termination date and any restocking or cancellation charges for special-order materials already ordered. Sections that by their nature survive termination (payment of fees owed, warranty claims for completed work, limitation of liability, governing law) survive.
10. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Suffolk County, New York, and both parties consent to personal jurisdiction there.
11. Modifications
We may update these terms from time to time. The “Last updated” date at the top of the page reflects the most recent revision. Continued use of the site or services after a posted change constitutes acceptance of the updated terms.
12. Entire agreement
These terms, together with any signed contract or quote, constitute the entire agreement between you and RK Seamless Gutters Inc. and supersede all prior discussions. If a court finds any provision unenforceable, the rest stays in effect.
